BIOGRAPHY

Thomas Rupp is an experienced corporate restructuring attorney, having represented debtors, creditors, committees, trustees, and purchasers in bankruptcy cases, general assignments for the benefit of creditors, out-of-court restructurings, and other distressed transactions. His bankruptcy experience crosses many industries, including agriculture, energy, technology, hospitality, manufacturing, transportation, education, real estate, wine, and entertainment. While at KBK, Tom has been trusted by clients to represent them in some of the largest and most complex chapter 11 cases filed in California, including PG&E’s restructuring of its wildfire liabilities and the liquidation of omnichannel auto retailer Shift Technologies.

Tom has spent his entire career focused on the challenges that distressed companies face and how to deploy the right legal tools to solve complex financial situations. Prior to joining KBK, Tom began his career at a boutique insolvency firm in the Bay Area, where he represented debtors and trustees in chapter 7 and chapter 11 bankruptcies, and both plaintiffs and defendants in actions to avoid fraudulent and preferential transfers. During law school, Tom externed first with the U.S. Bankruptcy Court for the Eastern District of California, and then with the U.S. Bankruptcy Appellate Panel of the Ninth Circuit.

Tom is a member of the board of the Bay Area Bankruptcy Forum, and he has served in many leadership roles for the California Bankruptcy Forum’s annual Insolvency Conference, most recently as its conference co-chair in 2023. He is an advisor to the California Lawyers Association’s Insolvency Law Committee, where he writes and provides editorial guidance for articles on recent cases of interest to bankruptcy practitioners. He is a former chair of the Commercial Law & Bankruptcy Section of the Bar Association of San Francisco.

Tom has been honored by the American Bankruptcy Institute as a member of its 2025 40 Under 40 class and by the National Conference of Bankruptcy Judges as a member of its 2022 Next Generation program. He has also been recognized in the 2023, 2024, and 2025 editions of The Best Lawyers in America, and the 2025 edition of Northern California Super Lawyers.

  • Ravn Air Group, USBC, D. Del. (2020-2021) – lead debtor’s counsel for Alaska’s largest commuter airline in its Chapter 11 case, resulting in a confirmed liquidating plan and the sale of different business lines and assets in over a dozen transactions resulting in anticipated aggregate proceeds of over $60 million.

  • JadooTV, USBC, N.D. Cal. (2019-2022) – lead debtor’s counsel for internet protocol TV provider focused on South Asian and Middle Eastern content.

  • PG&E Corporation and Pacific Gas and Electric Company, USBC, N.D. Cal. (2019-Present) – co-counsel for the PG&E entities in their chapter 11 cases, the largest chapter 11 filing in the Northern District of California in over a decade, through confirmation of their plan in June 2020. KBK continues to act as counsel for the reorganized debtors.

  • Imperial Toy, USBC, N.D. Cal. (2020) – represented DIP lender/stalking horse bidder in negotiating debtor-in-possession financing.
